Terms of Service
Effective 17 September 2026. Last updated 17 September 2026.
These Terms of Service ("Terms") form a binding agreement between Sparkplug ("we", "our", "us") and the client ("you", "your"), and govern your use of this website and of Sparkplug's services. By using this site or engaging our services, you agree to them.
1. Eligibility
Our services are intended for businesses and for individuals at least 18 years of age. By engaging Sparkplug you confirm that you are legally able to enter into contracts and that you have authority to do so on behalf of your business. Partners who present advertising inventory, media rights, or affiliate arrangements must have verifiable authority to represent them. Access may be restricted in jurisdictions where legal or regulatory requirements prevent us from operating.
2. Services provided
Sparkplug provides digital advertising and marketing services. Depending on the plan and scope agreed in writing, these include:
- Paid advertising: campaign strategy, build, launch, and ongoing management across platforms including Meta and Google, using budgets you authorize.
- Creative production: ad copy, static and motion creative, and short-form video produced for use in your campaigns.
- Local search and web presence: Google Business Profile management, local listings, landing pages, and on-page fundamentals.
- Reporting and account management: scheduled performance reporting, a live dashboard where your plan includes one, and a single point of contact.
- Automation and onboarding: automated intake, client record creation, and a structured client folder set in Google Drive. Your onboarding data is written automatically to our client management records, which serve as the single source of truth for your account.
A billboard and out-of-home marketplace is in development and is not currently offered. Social media management is listed on our pricing page as forthcoming and is not currently offered. Nothing on this site should be read as an offer of a service not yet available.
3. Client responsibilities
You agree to:
- Provide accurate and complete information during onboarding, including business details, service area, campaign preferences, and billing information. Location details must be accurate, since they determine targeting.
- Hold the rights to any logos, images, video, testimonials, or other materials you provide, and ensure they do not infringe third-party rights.
- Grant and maintain the account access needed to perform the work, and tell us promptly of any unauthorized access to your accounts.
- Pay fees according to your plan or service agreement. Non-payment may result in suspension or termination.
- Never submit passwords, government identification numbers, or banking details through our intake forms. Use a dedicated credential-sharing tool for logins.
- Provide the brand assets a campaign requires. Sparkplug is not responsible for delays caused by assets that have not been supplied.
Misuse of our services, including fraudulent advertising or unlawful content, is prohibited and is grounds for immediate termination.
4. Your content
You retain full ownership of the logos, images, video, and brand assets you provide. By supplying them you grant Sparkplug a limited, non-exclusive, revocable license to use, copy, and adapt them solely to deliver your campaigns. You represent that your content is lawful and does not infringe the rights of others. We may decline or remove content we consider unlawful, deceptive, or unsuitable for the platforms we advertise on.
Uploaded assets are stored in access-controlled folders specific to your account. Campaign outcomes depend on industry conditions, consumer behavior, and third-party networks that sit outside our control.
Sparkplug may display non-confidential work in its portfolio. Tell us in writing if you would rather we did not, and we will not.
5. Payments and fees
Plan fees are billed monthly in advance. Where your agreement includes a setup fee, it is invoiced with the first month. Invoices are due on receipt unless a grace period is stated. Late payment may result in suspension of services.
Advertising spend is separate from our fees. It is billed by the advertising platforms directly to accounts in your name, and Sparkplug does not mark it up. Amounts committed to advertising platforms or other third parties are non-refundable once spent.
Each plan covers a stated range of monthly advertising spend. Exceeding that allowance in two consecutive months moves your account to the next plan at the following billing cycle; this is set out in your service agreement rather than renegotiated at the time.
Billing disputes must be raised within fifteen (15) days of the invoice date.
6. Cancellation and termination
You may cancel with thirty (30) days written notice, unless your agreement states otherwise. The notice period exists so that live campaigns are wound down rather than switched off mid-flight. Sparkplug may terminate immediately for non-payment, breach of these Terms, fraudulent activity, or misuse. On termination you remain responsible for fees covering work performed through the end of the notice period, and we hand over access to the accounts and assets that belong to you.
7. Intellectual property
Sparkplug's software, automation workflows, internal systems, and methodologies remain our exclusive property. You retain ownership of your own creative assets, and of the ad creative we produce for you once it is paid for. No client may reproduce, reverse engineer, or resell Sparkplug's systems without written consent.
8. Results, automation, and limitation of liability
Sparkplug makes no guarantee of specific campaign results. Outcomes depend on your offer, your market, platform algorithms, and other factors outside our control.
We use automated systems and AI agents for high-volume, rule-based work such as record keeping, folder creation, reporting, and first-response communication. Decisions that carry commercial weight, including quotes, pricing, contracts, and anything sent to you on our behalf, require human review and approval before they go out. We maintain audit logs of automated actions, recording the action performed, the timestamp, and the system or person responsible.
Sparkplug is not liable for results that differ from projections, for content removals or account actions taken by advertising platforms, or for delays caused by third parties. Sparkplug is liable for misuse of your data, breach of this agreement, and willful negligence by its staff or systems.
To the fullest extent permitted by law, Sparkplug is not liable for indirect, incidental, or consequential damages, including lost revenue, profits, or data. Our total liability arising from an engagement will not exceed the fees you paid us in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Sparkplug, its employees and contractors, from claims, damages, and expenses arising out of your use of our services, the content you supply, or your violation of applicable law or these Terms, including reasonable legal fees.
10. Governing law and disputes
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of law principles. Clients outside the United States agree to United States jurisdiction unless a written contract states otherwise.
Disputes that cannot be resolved directly will be settled by binding arbitration under the rules of the American Arbitration Association, and both parties waive the right to bring class action claims.
11. Changes to these Terms
We may update these Terms. Updates are posted here with a revised effective date, and material changes affecting an active engagement are communicated to that client directly. Continued use of our services after an update constitutes acceptance.
