Terms of Service

These Terms of Service govern your use of sparkplug.agency and any marketing services provided by TODO legal entity name, a TODO entity type organized in TODO state, doing business as Sparkplug ("Sparkplug", "we", "us"). By using this site or engaging our services, you agree to these terms.

1. Services

Sparkplug provides marketing and advertising services, which may include paid advertising management, creative production, local search and web presence work, and reporting. The exact scope, deliverables, fees, and schedule for any engagement are set out in a separate written proposal or service agreement, which takes precedence over these terms where the two conflict.

2. Use of this website

You may use this site for lawful purposes only. You agree not to attempt to gain unauthorized access to any part of the site, interfere with its operation, or use automated systems to extract data from it in a way that burdens our infrastructure.

3. Inquiries and submissions

Information you submit through forms on this site is used to respond to your inquiry and, if you become a client, to set up and manage your account. Handling of that information is described in our Privacy Policy. Do not submit passwords, payment card numbers, or other sensitive credentials through website forms.

4. Client responsibilities

Where we provide services to you, you agree to:

• Provide accurate information about your business, offers, and claims;
• Hold the rights to any logos, photographs, footage, testimonials, or other materials you supply to us;
• Grant and maintain the account access needed to perform the work;
• Comply with the policies of the advertising platforms used on your behalf;
• Pay invoices according to the schedule in your service agreement.

5. Advertising spend

Unless your service agreement states otherwise, advertising spend is paid by you directly to the advertising platform and is separate from our fees. You remain responsible for amounts owed to those platforms.

6. Results

Advertising outcomes depend on factors outside our control, including your offer, your market, your capacity to serve customers, and platform policy changes. We do not guarantee any specific result, ranking, lead volume, revenue figure, or return on spend, and no statement on this site should be read as such a guarantee.

7. Intellectual property

The content, design, and branding of this website belong to Sparkplug. Ownership of work product created for a client is set out in that client's service agreement; absent other terms, deliverables transfer to the client upon full payment, and Sparkplug retains the right to display non-confidential work in its portfolio unless the client asks in writing that it not do so.

8. Third-party platforms

Our services rely on third-party platforms, including advertising networks, analytics tools, and hosting providers. We are not responsible for outages, policy changes, account suspensions, or pricing changes imposed by those platforms, though we will work with you in good faith to respond to them.

9. Termination

Either party may end an engagement according to the notice terms in the service agreement. On termination, you are responsible for fees for work performed through the end of the notice period, and we will hand over access to accounts and assets that belong to you.

10. Limitation of liability

To the maximum extent permitted by law, Sparkplug is not liable for indirect, incidental, special, or consequential damages, including lost profits. Our total liability arising out of an engagement is limited to the fees you paid us for the services in the TODO number of months preceding the claim.

11. Changes to these terms

We may update these terms. The version posted on this page is the one in effect, and the date at the top shows when it last changed. Material changes affecting an active engagement will be communicated to that client directly.

12. Governing law

These terms are governed by the laws of TODO state, without regard to conflict of law principles. Disputes will be brought in the courts located in TODO county and state.
